Walgreens has agreed to a $4.5 billion acquisition of the retail pharmacy chain's consumer health care business, a deal that has helped drive consumer health care costs up by about 5 percent.
Walgreens said it would buy the retail chain's consumer healthcare business from its parent company, which will also pay $4.5 billion in cash, or $4.3 billion of the $4.3 billion in annual sales.
Walgreens's consumer health care business was the largest transaction in its history in 2014, with more than $100 million in revenue and a strong profit margin. The transaction was financed by the National Retail Federation (NRF) and the American Medical Association (AMA) through its $2.6 billion investment in consumer health care.
The deal, announced Monday in a New York Times Business Unit report, includes a $4.5 billion acquisition of the retail pharmacy chain's consumer health care business. The transaction, which is expected to close in the fourth quarter of this year, will add to the company's total revenue of more than $3.2 billion.
In addition to the transaction, the NRF said the deal would help the company's bottom line by helping its customers save money on their healthcare costs. The NRF said it expects to receive $1.5 billion in additional funding over the next five years.

Rite Aid said it will pay about $2.2 billion in cash to the company in the fourth quarter of 2014. Rite Aid, which recently agreed to buy CVS in a deal to acquire the retail pharmacy chain, has agreed to pay $3.3 billion to resolve the acquisition issue.New York Attorney General Eliot Spitzer will represent the retail pharmacy business, which will be headquartered in New York City, for the remainder of the term of the deal. The New York Attorney General's Office said in a statement that the state is pleased with the agreement, saying the state will "continue to pay for the cost of its consumer health care benefits."A Walgreens spokesman said the company is committed to the acquisition and said the deal is "very close" to its intent to buy the retail pharmacy business from its parent company, which will be selling the consumer health care business at a price it will have.
